Step 1

Why advisors sell part of a book.

Most advisors who consider a partial sale are not trying to leave. They have more households than they can serve well, they want to slow down, or some clients need services they no longer want to provide. Others want to hand off the relationships that need the most time and keep the ones they enjoy most.

Some broker-dealers now offer formal partial-book programs, and advisors use them to step away gradually rather than all at once.

A partial sale can be a test drive: you see how a successor serves your clients before you decide about the rest.

Step 2

Choose which relationships, and say why.

GroupWhy it might transitionWatch for
Households you can’t see often enoughThey need more attention than you can giveDo not hand off only the relationships you find difficult
Clients needing services you don’t provideA successor’s strength fills a gap, such as business-owner planningExplain the reason in terms of their needs
Smaller relationshipsCapacity: you cannot serve everyone wellClients can feel “sold off”; the message matters
A geographic groupA local successor can meet them in personCoverage for clients who travel or move

Don’t let a partial sale become a dumping ground

  • Transitioning only the least profitable clients, with no service reason.
  • No explanation to clients beyond “someone new will help you now.”
  • A remaining practice that no longer covers its own costs.
  • No plan for the rest of the book, now or later.

Step 3

Make sure what you keep still works.

What you sell

Revenue and responsibility that move to the successor.

What you keep

The relationships and revenue that stay with you.

What it costs

Staff, platform and overhead that may not shrink.

Fixed costs rarely fall in proportion to revenue. Before you agree, model the practice you would have afterward: who supports it, what it costs to run, and whether it still gives you the income and the working week you want.

Step 4

Structure it like a real sale.

A partial sale deserves the same discipline as a full one. Separate cash at closing from deferred and contingent amounts, define how retained revenue is measured, and understand who controls the decisions that move your payment. If the buyer would get a first right or an option on the rest of your book, understand exactly what that commits you to.

For a side-by-side way to compare proposals, see sale terms explained.

Step 5

Tell clients the real reason.

Clients handle change better when the reason is about them: more time, a specialist, someone nearby. Introduce the successor personally, explain what changes, and give each household room to ask questions and decide. See client transition for a handoff plan.

FINRA’s guidance notes customer choice in brokerage succession. Plan for client questions and alternatives rather than assuming every household will move.

Before you talk to a successor

Six things to have ready.

Partial-sale preparation worksheet

Check what you have prepared. Add practice-level notes only; do not enter client names or confidential information. Nothing is sent or saved. Reloading clears your answers.

Mark the items you have addressed to identify what remains.

Questions about partial book sales

Is selling part of a book common?

It is increasingly common. Some broker-dealers run formal programs, and advisors use partial sales to reduce workload or test a successor before a full transition.

Will a buyer only want my largest clients?

Some buyers have preferences. A successor focused on fit should explain which relationships they can serve well, and why, rather than cherry-picking.

Can I sell the rest later to the same successor?

Possibly. If the agreement gives the buyer a first right or option on the remainder, have your own advisers explain what that commits you to before you sign.
